“Insofar as the current lot is concerned, it is being sold inclusive of the intellectual property, the goodwill, and the reputation that vests in the DRIP brand. It is incumbent on the buyer to action any and all formal assignments, or transfers in respect of any intellectual property that vests in Drip Footwear (Pty) Ltd. Further to this, it is noted that it is incumbent on the buyer to maintain, terminate or otherwise administer any license or use agreements in relation to which any of Drip Footwear (Pty) Ltd’s intellectual property is the subject. It is noted that the buyer is responsible for attending to conduct its own due diligence in respect of the prospective value of the lot, and to administer any disputes, formally litigious or otherwise, in relation to which any of Drip Footwear (Pty) Ltd’s intellectual property is the subject. It is noted that, following the sale of Drip Footwear (Pty) Ltd, all formal requirements pertaining to the prosecution, enforcement and furtherance of any of Drip Footwear (Pty) Ltd’s intellectual property would be for the account of the buyer, and Bidders Choice (Pty) Ltd and / or the liquidator(s) of Drip Footwear, are indemnified from any claims in relation to the intellectual property that vests in Drip Footwear (Pty) Ltd. In this respect, it is noted that the buyer takes assignment and transfer of all intellectual property that vests in Drip Footwear (Pty) Ltd, including that intellectual property that exists by virtue of the goodwill and reputation in the DRIP brand, entirely at the buyer’s own risk.”
